This Agreement (the "Agreement") is made between Guaranty Trust Bank (Ghana) Limited ("GTBank" or "Company"), and any Client who orders for Web Services (In this case, Website Design). GTBank and Client will be individually referred to as a "Party" and collectively as "Parties" under this Agreement.
The Client acknowledges that its electronic approval constitutes an acceptance to the Agreement for transactions performed on the website. GTBank may in its sole discretion accept or reject any Order you submitted. GTBank's provisioning of the services described in an Order shall be GTBank's acceptance of the Order. If the Client enters into this Agreement on behalf of another legal entity, the Client warrants and represents that it has the legal authority to bind that entity to this Agreement. The Client shall acknowledge and agree that to use this service for legitimate uses only.
PLEASE READ THIS AGREEMENT CAREFULLY. BY USING THE GTBANK'S SERVICE, THE CLIENT ACKNOWLEDGES THAT IT HAS READ, UNDERSTOOD AND AGREED TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, ALONG WITH ANY NEW, DIFFERENT OR ADDITIONAL TERMS, CONDITIONS OR POLICIES WHICH GTBANK MAY ESTABLISH FROM TIME TO TIME. THE CLIENT MAY VIEW THE LATEST VERSION OF THIS AGREEMENT ONLINE.
In addition, when the Client uses its account or permits another entity to use it or otherwise acquire access to additional services or to cancel the services (even if GTBank were not notified of such authorization), the Client agrees to be bound by the terms of this Agreement for transactions entered into on its behalf by such entity.
"Terms and Conditions": These are the standard terms and conditions for Website Design and Development and applies to all contracts and all design works undertaken by GTBank for the Client.
"The Client": The company or individual requesting the services of GTBank.
Any time frames or estimates that GTBank gives are contingent upon the Client's full co-operation, and submission of complete and final content in photography for the work pages. During development there is a certain amount of feedback required in order to progress to subsequent phases. GTBank requires that the Client appoints and make available on a daily basis, a single point of contact in order to expedite the feedback process.
The Client must supply everything required by GTBank to complete the project including the format required to complete the work in accordance with any agreed specification. Some of the materials to be supplied may include, but are not limited to images, content, logos and other printed material to be incorporated into the website design. In the event of a delay in supplying these materials to GTBank, which could eventually lead to a delay in the completion of work, GTBank reserves the right to extend any previously agreed deadlines by a reasonable amount of time.
Projects can be hindered if the Client does not provide feedback or required elements in a timely manner Such as feedback or required elements may include design mockup, requested sitemaps, text to be used as content on the web pages, photos for either the design or for the content, the Client's logo, appropriate account login information, etc.
It is expected that the Client shall respond within seventy-two hours of receiving the three templates with its selected template and complete website content.
GTBank will work on the initial alteration within the stipulated Seven (7) working days after a template has been chosen.
There will only be one review by the client to reflect final changes and this should be sent within 48 hours.
Thereafter, GTBank will complete the final reversions or alterations within the stipulated Three (3) working days to reflect the final changes sent by the Client.
GTBank will not be liable for delays caused by the customers.
In a case of delay from GTBank's end, GTBank shall be allowed to remedy the delay within Five (5) working days.
GTBank is pleased to offer the Client the opportunity to make revisions to the design. However, GTBank shall have the right to limit the number of design proposals to a reasonable amount and GTBank at its discretion may charge for additional designs if changes after approval has been given.
The website development phase is flexible and allows certain variations to the original specification. However any major deviation from the specification will be at an additional cost and will be agreed upon by both parties.
For Corporate - Corporate website has access to maximum of 7 pages i.e - Home, about us, contact us, product and services and any other preferred page
For ecommerce - We upload maximum of 20 products and the client will upload the rest
A minor change is anything that has to do with adjusting of size, change of placement, moving of component, colour change, image replacement or text change. A major change is an addition of a new feature which has been agreed to be possible by GTBank e.g. new shipping option, new payment option. This does not however mean upgrades of unlimited complexity, but within the measurable framework of the existing content management system.
Any of the work which has not been reported in writing to us as unsatisfactory within the 2-day review period will be deemed to have been approved. Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed.
The Client shall obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks, or any other material that it supplies to us to included in your website or web applications.
The Client must indemnify and hold GTBank harmless from any claims or legal actions related to the content of its website.
Upon payment by the Client for the service, GTBank shall grant to you a license to use the website and its related software and contents for the life of the website.
The Client shall be responsible for maintaining backups concerning the website and GTBank will not be liable for restoring any data except to the extent that such data loss arises out of a negligent act or omission by GTBank.
The Client shall be responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, defend and indemnify GTBank and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from its use or its clients' use of the service.
Clients shall be required to create a merchant account with their GTBank payment gateway service and send in its merchant ID information for integration at an agreed cost.
If the Client wishes to terminate its relationship with GTBank during the course of the initial web design or development phase, the Client will be responsible for the amount of work already completed. There shall be no refund of money paid for any web design related job In order to protect clients from unintentional service interruption, clients wishing to terminate any services must request the service termination in writing.
This Agreement will be governed and construed in accordance with the laws of the Republic of Ghana.
